Reporting To: General Counsel and Company Secretary
Senior Legal Counsel serves as a key advisor across the business on a broad range of legal issues with a strong focus on corporate law, governance, risk management and compliance.
This role reports to the General Counsel and collaborates closely with key stakeholders across business units and corporate functions in Seeing Machines.
Additionally, an important function of the role is contract risk management, including due diligence on contracting parties, and assisting with the management of our insurance contracts in line with corporate policy and board approvals, including the annual insurance renewals process.

Key Responsibilities:
Corporate Legal and Commercial Advisory
- Provide legal advice on general corporate matters, including entity formation, corporate structuring, and intra-group transactions across multiple jurisdictions
- Draft, review, and negotiate a broad range of commercial agreements
- Support strategic transactions such as M&A, strategic investments, and exclusive collaboration, including due diligence, deal execution, and post-close integration
- Ensure compliance with local corporate governance requirements in all operating jurisdictions, coordinating with local counsel and finance teams as needed
- Develop and maintain contract templates and playbooks to drive efficiency and standardization across the business
Risk management
- Lead legal input into the company’s risk management program, working with finance, audit, and IS/security teams
- Conduct risk assessments on material legal and regulatory exposures, particularly in areas of data protection, cross-border trade, IP, employment, and third-party relationships
- Develop and maintain a legal risk register and mitigation framework aligned with the company’s risk appetite and internal controls
Compliance and Regulatory
- Establish and maintain global compliance frameworks across areas such as anti-bribery and corruption, GDPR and data protection, modern slavery, sanctions/export controls, and whistleblower policies
- Lead internal policy development and roll-out, ensuring policies are practical, accessible, and embedded within company operations
- Conduct training and awareness sessions for business teams on legal, ethical, and regulatory obligations
- Manage internal investigations into compliance breaches or complaints and advise on appropriate remedial action
Knowledge, Skills and Experience
- Bachelor’s degree in Law.
- At least 8 years’ PQE with demonstrated experience in-house or with significant secondment experience.
- Experience in governance, risk and compliance.
- Experience with insurance contracts.
- Experience with data protection and privacy, including Australian privacy laws and GDPR compliance and experience drafting, data protection agreements.
- Demonstrated skills and experience in stakeholder management and engagement.
- Ability to initiate and recommend changes to business processes and techniques, with an emphasis on continuous improvement.
- Ability to solve issues through discussion, negotiation, and teamwork.
